ABOUT THE CENTRE FOR CORPORATE, COMPETITION AND INSOLVENCY LAWS (CCCIL)

The Centre for Corporate, Competition, and Insolvency Laws (CCCIL) has been established at the Faculty of Law to promote domain-specific and interdisciplinary research on Corporate, Competition, and Insolvency Laws. The Centre aims to engage in diverse activities including, but not limited to, organizing Webinars, Conferences, Workshops, and Moot Court Competitions; initiating credit and non-credit Courses; publishing Newsletters and Blog Series; engaging in meaningful research on Corporate, Competition, and Insolvency laws. The quizzes and other competitions will regularly be conducted to promote awareness of the subject.

COURSE OVERVIEW

Corporate law is the bedrock of the business world. Into Legal World in collaboration with Centre for Corporate Competition and Insolvency Laws presents this “Advanced Certificate Course on Practice in Corporate Law” to provide a deep understanding of the procedural aspects of corporate law under Companies Act, SEBI Regulations and Insolvency and Bankruptcy Code. From incorporation to insolvency, this course covers every critical procedure required in the life cycle of a company. You will gain hands-on experience in drafting key documents, filing regulatory forms, managing compliance, and resolving corporate disputes.

COURSE STRUCTURE

Module 1: Incorporation and Structure of Companie

  • Incorporation of Companies under the Companies Act, 2013 [Procedure for filing SPICe+(Form INC-32), Verification of documents for incorporation (Section 7), DSC and DIN requirements (Sections 153-159)]

  • Drafting and filing the MoA and AoA (Sections 4, 5 and Companies (Incorporation) Rules, 2014).

 

Module 2:  Corporate Governance and Management

  •  Procedure for appointing directors and KMPs. [Section 149, Section 152, Filing DIR-12 and requirements under Rule 8 of Companies (Appointment and Qualification of Directors) Rules, 2014]

  • Conduction of board meetings and AGM/EGM. (Notice, Agenda, Quorum, Resolutions, Requirements under Secretarial Standard-1 (SS-1), etc.]

  • Procedure for removal and resignation of directors. (Section 168, 169, DIR11 Filing)

 

Module 3: Corporate Finance and Securities Regulations

  • Shares issued through private placement (Section 42, PAS-4 filing) or public offer (Section 23, read with SEBI (ICDR) Regulations, 2018).

  • Steps for altering share capital. (Section61, Section 66, SH-7 Filing)

  • Disclosure requirements for a company under SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

 

Module 4: Mergers, Acquisitions, and Corporate Restructuring

  • Process for filing a merger or demerger application with NCLT (Sections 230-232, Companies (Compromises, Arrangements and Amalgamations) Rules, 2016, Form GNL-1, CAA-9)

  • Procedural requirements for cross-border mergers. (Section 234 and RBI approval)

  • Due diligence conducted during M&A transactions.

 

Module 5: Winding Up and Insolvency Procedures

  • Steps involved in Voluntary Liquidation of a Company under IBC. (Section

  • 59, Insolvency and Bankruptcy Board of India (Voluntary Liquidation

  • Process) Regulations, 2017)

  • Steps involved in corporate insolvency under the IBC.

  •  

  • Module 6: Compliance and Regulatory Filings

  • Filing annual returns and financial statements. (Sections 92, 137, Section

92(5), Form Filing AOC-4 and MGT-7)

  • Process for filing resolutions with RoC. (Section117 and MGT-14

  • Compliance audits conducted.

 

Module 7: Dispute Resolution and Litigation in Corporate Law

  • Procedure for initiating a case before NCLT. (NCLT Rules, 2016)

  • Minority shareholder rights protected. (Sections 241-242)

  • The role of arbitration in corporate dispute resolution.

 

Module 8: Corporate Social Responsibility (CSR) Compliance

  • CSR policy framed and implemented.

  • (Section 135, Companies (CSR Policy) Rules, 2014.)

 

Module 9: Drafting and Documentation in Corporate Law

  • The essential clauses in SHA, JVA, etc.

  • Contracts like NDAs, vendor agreements, and employment agreements drafted.

  • Stamp duty compliance under Indian Stamp Act, 1899.

COURSE OBJECTIVES

1) To provide a platform for interdisciplinary research and scholarship in the fields of corporate affairs, competition law & policy and insolvency laws.

2) To study the existing legislative and policy frameworks in the field of corporate laws and suggest modifications at the level of policy drafting.

3) To organize seminars, conferences, workshops and guest lectures to raise awareness of legal issues and promote public understanding of corporate, competition, and insolvency laws.

4) To facilitate a collaboration between academia, legal practitioners, policymakers, and industry stakeholders to address contemporary challenges and foster best practices.

5) To conduct certificate and diploma programs, faculty development programs, and other management and faculty development programs.

6) To apply for projects outside the University pertaining to the corporate research area and also provide support and resources to faculty members and students pursuing research objectives in the corporate domain.
