A badly drafted rent agreement is one of the most common sources of property disputes in India. Most of them come down to the same few mistakes: calling a lease a "license" without changing the substance, ignoring stamp duty until the document is needed in court, or leaving out clauses on lock-in, deposit refund and termination.

This guide covers how to draft a rent agreement or leave and license agreement, which clauses matter, when registration is needed, and how stamp duty works.

Rent Agreement (Lease) Vs Leave And License Agreement: What Is The Difference?

The two documents look similar, but the law treats them very differently.

  • Legal source: A lease rests on Section 105 of the Transfer of Property Act, 1882. A license rests on Section 52 of the Indian Easements Act, 1882.

  • What is created: A lease creates an interest in the property. A license is only a permission to occupy.

  • Possession: A lease usually gives exclusive possession. Under a license, the owner retains legal possession.

  • Transfer: A lease can be transferred or sublet unless the agreement bars it. A license is personal and non-transferable.

  • Termination: A lease is ended by notice under Section 106 of the Transfer of Property Act (15 days for a month to month tenancy). A license is revocable as per the agreement.

  • Protection under rent control law: Tenants often get it. Licensees generally do not, though Maharashtra treats licenses within its rent control law.

The label does not decide the character of the document. In Associated Hotels of India Ltd. v. R.N. Kapoor (1959), the Supreme Court held that exclusive possession is the real test. If the occupier gets exclusive possession for a fixed term and rent, a document called a "license" can still be a lease. Draft according to the arrangement the parties actually intend, and make the clauses match the title.

Essential Format Of A Rent Or Leave And License Agreement

A clean structure makes the document easier to enforce and easier to read in court:

  • Title, date and place of execution

  • Parties, with full names, addresses and identity details

  • Recitals (ownership of the owner and purpose of the arrangement)

  • Description of the premises, including fixtures and fittings

  • Term and commencement date

  • Rent, deposit and payment mechanics

  • Rights, duties and restrictions on both sides

  • Termination and exit

  • Dispute resolution and jurisdiction

  • Signatures, witnesses and schedule of inventory

Key Clauses Every Drafter Should Include

Term and lock-in. State the start date, the end date and any renewal mechanism. If there is a lock-in period, state the consequence of leaving early, for example forfeiture of a fixed part of the deposit or payment of rent for the balance lock-in.

Rent and escalation. Set out the amount, due date, mode of payment and the annual escalation, either as a fixed percentage or a fixed sum. Avoid vague wording like "reasonable increase".

Security deposit. State the amount, whether it earns interest, the deductions allowed (unpaid rent, utility dues, damage beyond normal wear) and the refund timeline after handover.

Permitted use. Specify residential or commercial use. Misuse of the premises is a strong ground for termination.

Maintenance, utilities and taxes. Say who pays society charges, electricity, water, property tax and repairs. Where the owner or tenant has tax obligations on rent, allocate them in writing.

Sub-letting and assignment. Prohibit sub-letting without written consent. For a license, make it clear the license is personal and cannot be assigned.

Entry and inspection. Give the owner a right to inspect on reasonable notice, and protect the occupier from arbitrary entry.

Termination and notice. Provide a notice period for each side (one to three months is common), grounds for immediate termination, and the handover procedure.

Dispute resolution. Name the courts with jurisdiction, and consider an arbitration clause. Note that the agreement must be properly stamped before an arbitration clause can be acted on.

Inventory schedule. Attach a list of furniture, fixtures and appliances with their condition. This avoids most deposit deduction disputes.

Is Registration Of A Rent Agreement Compulsory?

Under Section 17(1)(d) of the Registration Act, 1908, a lease from year to year, for a term exceeding one year, or reserving a yearly rent, must be registered. Section 107 of the Transfer of Property Act says the same for such leases.

This is why the 11 month agreement is so common. It keeps the term within one year and avoids compulsory registration.

Consequences of not registering a document that needs registration:

  • Under Section 49 of the Registration Act, an unregistered document that requires registration cannot be used as evidence of the transaction affecting the property. It can still be used for limited collateral purposes.

  • State practice differs. Maharashtra, for example, requires leave and license agreements to be registered irrespective of duration, so check local rules before relying on the 11 month convention.

Stamp Duty On Rent Agreements: How It Works

Stamp duty on leases is a state subject. It is charged under Article 35 of Schedule I to the Indian Stamp Act, 1899, as amended by each state, and states have their own provisions for leave and license documents.

Points to keep in mind:

  • Duty depends on the state, the term, the rent and, in many states, the security deposit or premium.

  • Rates and formulas differ widely. Maharashtra, for example, uses a low percentage of total rent plus a deposit-linked component for leave and license agreements, while Delhi, Karnataka and Uttar Pradesh follow their own schedules, and some states charge fixed sums for short residential terms.

  • Duty is paid by e-stamping or non-judicial stamp paper. Who bears it is a matter of agreement, and in practice it is often split.

  • Do not skip or under-stamp. Under Section 35 of the Indian Stamp Act, an unstamped or insufficiently stamped instrument is inadmissible in evidence until the duty and penalty are paid. In the Supreme Court's 2023 seven judge bench decision on stamping and arbitration agreements, unstamped instruments were held inadmissible but not void, and the defect is curable.

Because rates change and vary by state, confirm the current figure on your state's stamp and registration portal before executing.

Model Tenancy Act, 2021: Does It Apply To Your Agreement?

The Model Tenancy Act, 2021 is a model law, not a nationwide code. It applies only in states that adopt it through their own legislation. Where adopted, it typically brings features like written agreements, intimation to a Rent Authority, caps on security deposit, notice before rent revision, and rent tribunals. Always check whether your state has enacted a similar law, and draft to the state's rent control regime.

  • Using a "license" label for what is really an exclusive possession lease

  • Ignoring stamp duty or paying it on the wrong base

  • No inventory schedule, leading to deposit disputes

  • Silent on escalation, lock-in and notice period

  • No dispute resolution clause or jurisdiction clause

  • Wrong description of the property or missing proof of the owner's title

  • Copying a template from another state without checking local law
