About the Opportunity
They are hiring Junior Associate - hashtag#CompanySecretary [Must] cum Lawyer [Optional].
Key Responsibilities:
1. Company Secretarial Functions:
Ensure compliance with all company laws and regulations, including the Companies Act, 2013.
Manage the company’s corporate governance and secretarial functions, including preparation and filing of statutory forms, returns, filings with the MCA, secretarial filings and documents with the Registrar of Companies.
Organize and maintain board meetings, general meetings, and committee meetings, including preparing agendas, minutes, and resolutions.
Liaise with regulatory authorities such as SEBI, ROC, and Stock Exchanges for compliance and legal matters.
2. Legal Advisory:
Provide legal advice on corporate governance, mergers & acquisitions, joint ventures, and other corporate transactions.
Draft, review, and negotiate contracts, agreements, and other legal documents to ensure the company’s interests are protected.
Handle litigation, arbitration, and dispute resolution matters related to corporate and commercial law.
Conduct legal research and stay updated with the latest developments in corporate laws and regulations.
3. Regulatory Compliance:
Ensure compliance with all applicable laws, regulations, and guidelines relevant to the business.
Monitor changes in legislation and advise management on the impact of new laws and regulations.
Implement and oversee compliance programs to mitigate legal risks.
4. Corporate Governance:
Advise on best practices in corporate governance and ensure adherence to high standards of transparency and accountability.
Assist in the development and implementation of internal policies and procedures to strengthen corporate governance.
Qualifications:
MANDATORY: Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
OPTIONAL: Bachelor of Laws (LLB) from a recognized university.
Minimum of 2-4 years of relevant experience.
Strong knowledge of corporate laws, regulatory compliance, and company secretarial practices.
Excellent drafting, communication, and negotiation skills.
Ability to work independently and as part of a team.
Proficient in using legal research tools and MS Office.
Preferred Skills:
Experience in handling mergers & acquisitions, joint ventures, and other corporate transactions.
Exposure to litigation, arbitration, and dispute resolution.
Strong analytical and problem-solving abilities.
